These Terms of Service ("Terms") constitute a legally binding agreement between you and ReqFlow Inc. ("ReqFlow," "we," "our," or "us") governing your access to and use of our website, products, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

ReqFlow provides an AI-powered requirements engineering platform designed to help teams capture, analyze, and manage requirements. Our Services include:

• AI-assisted requirements elicitation and documentation
• Requirements analysis and gap detection
• Document management and version control
• Collaboration tools for teams
• Traceability and compliance features
• Integration with third-party tools and services

To use certain features of our Services, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 16 years old to create an account. By registering, you represent that you meet this age requirement.

4.1 Subscription Plans

We offer various subscription plans with different features and pricing. Details of available plans are provided on our pricing page. We reserve the right to modify, terminate, or otherwise amend our offered plans.

4.2 Billing

Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan. You authorize us to charge your payment method for all fees incurred.

4.3 Free Trial

We may offer free trials for certain plans. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

4.4 Refunds

Except as required by law or as explicitly stated in these Terms, all payments are non-refundable. If you cancel your subscription, you will continue to have access until the end of your current billing period.

5.1 Ownership

You retain all ownership rights to the content you upload, create, or submit to the Services ("Your Content"). ReqFlow does not claim ownership of Your Content.

5.2 License to ReqFlow

By submitting Your Content to the Services, you grant ReqFlow a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and display Your Content solely for the purpose of providing the Services to you.

5.3 Your Responsibilities

You are solely responsible for Your Content and represent that:

• You own or have the necessary rights to use and share Your Content
• Your Content does not violate any third-party rights
• Your Content complies with all applicable laws and regulations
• Your Content does not contain malicious code or harmful material

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services or servers
• Collect information about other users without consent
• Use the Services for any illegal or unauthorized purpose
• Impersonate another person or entity
• Engage in any conduct that restricts others' use of the Services

Our Services include AI-powered features that analyze and process your content. You acknowledge and agree that:

• AI outputs are provided for assistance and should be reviewed by humans
• AI may occasionally produce inaccurate or incomplete results
• You are responsible for verifying AI-generated content before use
• AI features may be modified or discontinued at any time
• Usage of AI features may be subject to rate limits or usage caps

The Services, including all content, features, and functionality, are owned by ReqFlow and are protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute our proprietary content
• Reverse engineer or attempt to extract source code
• Remove any copyright or proprietary notices
• Use our trademarks without express written permission

The Services may integrate with or contain links to third-party services. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms.

You may terminate your account at any time through your account settings or by contacting us. We may suspend or terminate your account if:

• You breach these Terms
• We are required to do so by law
• Your use poses a security risk to others
• Your account has been inactive for an extended period

Upon termination, your right to use the Services will immediately cease. We may retain certain information as required by law or for legitimate business purposes.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, REQFLOW DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REQFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL REQFLOW'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO REQFLOW IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless ReqFlow and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in San Francisco County, California.

We may modify these Terms at any time. If we make material changes, we will notify you by email or through the Services. Your continued use of the Services after such notice constitutes acceptance of the modified Terms.

• Entire Agreement: These Terms constitute the entire agreement between you and ReqFlow regarding the Services.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
• No Waiver: Our failure to enforce any right or provision will not constitute a waiver of such right or provision.
• Assignment: You may not assign these Terms without our prior written consent.
